Terms Of Service

Welcome to AION. These Terms of Service (“Terms”) govern your access to and use of the AION platform, applications, services, and related products (together, the “Platform”). Please read these Terms carefully before using the Platform. By creating an account or using the Platform, you agree to be bound by these Terms.
If you do not agree, you must not use the Platform.

1. About Us

The Platform is operated by AION Digital Media Ltd, a company incorporated in England and Wales with company number 16556774 and registered office at 128 City Road London EC1V 2NX (“AION”, “we”, “us”, “our”).

2. Eligibility

  • General Users: You must be at least 16 years old to access and use the Platform.
  • Creators: You must be at least 18 years old to upload, monetise, or otherwise provide content. Creators must also provide valid identification, proof of residence, and tax details as requested.
  • Advertisers/Sponsors: Participation requires a separate written agreement with AION.

    • By using the Platform, you confirm that you meet these requirements and have the legal capacity to enter into these Terms.

    3. Accounts

    You are responsible for keeping your account details confidential and for all activity under your account. You must notify AION immediately if you suspect unauthorised use.

    4. Content

    4.1 Ownership

    Creators retain ownership of content uploaded to the Platform, subject to the licence below.

    4.2 Licence to AION

    By uploading content, creators grant AION a worldwide, non-exclusive, royalty-free licence to host, store, distribute, promote, and display the content in connection with operating the Platform.

    4.3 Warranties

    Creators represent and warrant that:

  • They own or have the necessary rights to the content.
  • Content does not infringe any third-party rights.
  • Content complies with applicable law and these Terms.

    • 5. Payments and Revenue

  • Revenue share: Creators receive 90% of eligible revenue; AION retains 10%.
  • Payment frequency: Monthly.
  • Minimum payout threshold: $25.
  • Currency: All contractual payments are in USD, though the Platform may display local currencies for convenience.
  • Payment method: Electronic transfer via payment providers designated by AION.
  • Fees: Users are responsible for transaction and processing fees.

    • Creators must provide accurate tax details. AION may withhold or delay payment if required by law or to verify compliance.

    6. Content Takedown

    6.1 Notices

    If you believe content infringes your rights, you may submit a notice to AION at legal@aionmedia.xyz. Notices must include sufficient information to identify the content and establish your rights.

    6.2 Response

    AION will review and act on valid notices within 7 calendar days. Content may be removed while reviewed.

    6.3 Counter-Notice

    Creators may submit a counter-notice if they believe removal was mistaken. If so, AION may reinstate the content unless prohibited by law.

    6.4 Repeat Infringement

    Users who commit 3 or more infringements within 12 months may have their accounts permanently terminated.

    6.5 Retention

    Removed content will be retained by AION for up to 30 days pending any counter-notice or appeal.

    7. User Conduct

    You must not:

  • Breach these Terms or applicable law.
  • Harass, abuse, or harm other users.
  • Post or distribute harmful, illegal, or infringing content.
  • Circumvent Platform security or payment systems.
    • AION may issue warnings (up to 2 for minor breaches) or suspend/terminate accounts immediately for serious violations.

    8. Advertising and Sponsorship

    Advertising and sponsorship arrangements are governed exclusively by separate written agreements. These Terms do not apply to refunds, cancellations, or payment obligations of advertisers or sponsors. AION reserves discretion to approve, refuse, or terminate such arrangements.

    9. Termination

  • By users: You may terminate your account at any time. Termination is immediate on request.
  • By AION: We may suspend or terminate accounts for breach of these Terms, repeated infringement, fraud, or legal/regulatory reasons.
  • Data retention: Account data will be retained for 90 days after termination (to allow reactivation) and permanently deleted thereafter, unless we are required to keep it by law.

    • 10. Amendments

    AION may update these Terms from time to time.

  • Notice period: At least 7 days before changes take effect.
  • Grace period: You may reject changes by closing your account within 14 days of notice. Continued use after the effective date constitutes acceptance.

    • 11. Dispute Resolution

  • Governing law: These Terms are governed by the laws of England and Wales.
  • Jurisdiction: The courts of London, England shall have exclusive jurisdiction.
  • Complaints: AION will respond to complaints within<> 14 days.
  • Mediation/Arbitration: Disputes not resolved internally may be referred to mediation or arbitration within 90 days, before court action is considered.

    • 12. Liability and Indemnity

  • Liability cap: AION’s liability is capped at the greater of £100 or the amount you paid to AION in the 12 months before the claim.
  • Exclusions: AION is not liable for: <

  • Loss of profit, business, or goodwill.
  • Downtime, interruptions, or errors.
  • Matters outside AION’s reasonable control.

    • You agree to indemnify AION against claims arising from your breach of these Terms or misuse of the Platform.

    13. Service Availability

    AION provides the Platform on an “as is” basis and offers no guarantees of uptime, availability, or performance.

    14. Miscellaneous

  • Legal notices: Send to legal@aionmedia.xyz and AION Ltd, 128 City Road London EC1V 2NX.
  • Inactive accounts: Accounts inactive for 12 months may be deleted.
  • Severability: If any part of these Terms is invalid, the remainder remains enforceable.
  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and AION.
